CONSTITUTION

ARTICLE I - GENERAL MATTERS

Section 1:        Name and General Membership Requir= ements

A.<= span style=3D'font:7.0pt "Times New Roman"'>     This organization shall be known as Oregon Chapter Association of Public Safety Communications Officials, Inc. (Oregon APCO), an Oregon non-profit public benefit corporation. Oregon APCO= is a duly authorized Chapter of the parent organization known as Association of Public Safety Communications Officials (APCO).

B.<= span style=3D'font:7.0pt "Times New Roman"'>     Its membership shall be open to all persons of good character who meet the membership requirements of this Constitution and/or Bylaws pursuant thereto, and who are residents of or employed in the State of Oregon or as otherwise provided herein.=

C.<= span style=3D'font:7.0pt "Times New Roman"'>     Its voting privileges shall be limi= ted to certain membership classifications, which are hereinafter specified. Voting members are required to be citizens of the United States of America and its territories and possessions.

Section 2:        Purpose

The purpose of Oregon APCO shall be to:

  1. Fos= ter the development and progress of the art of public safety communication= s by means of research, planning, training, and education; promote cooperat= ion between towns, cities, counties, state and federal public safety agenc= ies and policy-making bodies as may be appropriate, and through its efforts strive toward the end that the safety of human life, the protection of property and the civic welfare are benefited to the utmost degree;
  2. Aid= and assist in the rapid and accurate collection, exchange and disseminatio= n of information relating to emergencies and other vital public safety functions;
  3. Pre= pare, and electronically distribute or cause to be prepared and electronical= ly distributed information at such regular intervals as may be deemed necessary, reasonable, and proper. This shall include technical, admin= istrative, operational, training and educational information considered of intere= st to the membership of this Chapter and to other people who are interest= ed in the field of public safety communications;
  4. Est= ablish and maintain with the Chapter secretary the files, records, equipment = and functions necessary for Chapter operation and activities; and
  5. Pro= vide for membership in this Chapter in accordance with the language and int= ent of its Constitution and Bylaws, which are now, and may later be, in effect. Membership shall not be limited other than by classification a= nd good character and shall have such rights and privileges by classifications as may be provided from time to time in keeping with t= he state of development of the art of public safety communications.<= /o:p>

Section 3:        Definitions and Names

  1. &qu= ot;Association" refers to the Parent Chartering Organization – APCO – Association of Public Safety Communications Officials, Inc, or, NENA – National Emerg= ency Number Association.
  2. &qu= ot;Chapter" refers to Oregon APCO/NENA.

Section 4:        Constitution and Bylaws=

  1. The objectives and purposes of this Chapter shall consist of a written constitution and written bylaws consistent with the Constitution and Bylaws of APCO, Inc. and NENA. These objectives and purposes shall inc= lude and be otherwise related to and in support of those of the Association= and its Constitution and Bylaws.

Section 5:        Amending Restrictions

  1. This Chapter shall maintain its constitution and/or bylaws so that they do = not become inconsistent or in conflict with the objectives, purposes and requirements of either APCO or NENA Constitution and Bylaws in current condition and shall provide both Associations offices with a copy of t= he documents in current condition.

Section 6:        Membership Classification Restrict= ions

  1. This Chapter shall have those classes of membership provided in Article II = of the Association Constitution. The rights with respect to Chapter and Association matters provided by each class of membership, including vo= ting rights, shall be the same.
  2. The= re shall be no limit placed upon the number of members in any classificat= ion of membership.

Section 7:        Requirement to Report Meetings

  1. This Chapter shall submit a report of its meetings in writing to the Association Office not more than thirty (30) days after the adjournmen= t of such meetings, or in accordance with any requirements set forth by eit= her Association’s Office.
  2. The report shall be made in the form of a copy of the minutes herewith required to be kept of each Chapter meeting. Minutes, as required in t= his Section, shall be substantially in accordance with the definition of minutes in Roberts Rules of Order.

Section 8:        Membership from Adjacent Areas

  1. Mem= bers may affiliate with Chapters in the adjacent area as multiple category members as provided for in Association Constitution Article II Section= 10. Members of adjacent Chapters have like privileges with Oregon Chapter.=

ARTICLE II - MEMBERSHIP

Section 1:        Membership Designations=

  1. The membership of this Association of Chapters shall be divided into the following classes: ACTIVE; ENGINEER/TECHNICIAN; TELECOMMUNICATOR; COMMERCIAL; ASSOCIATE; CHAPTER HONORARY; SUPPORTING GROUP AND RETIRED.=
  2. In addition to the above membership classifications, which are defined in= the remaining sections of this Article, provision is made for members to affiliate with more than one Chapter of this Association under multiple memberships and for special recognition to be made for GOVERNMENTAL AND SUPPORTING memberships.
  3. App= lications for membership will be processed in accordance with the provisions of Bylaws Article I Section 1.
  4. Mem= bers shall be admitted in rigid accordance with the classification requirem= ents set forth in this Article, and membership shall not be denied on the b= asis of race, color, creed, national origin, gender, sexual orientation or numerical limitation.

Section 2:        Active Member

  1. The following shall be eligible for ACTIVE membership in this Association:=

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      All administrative and supervisory personnel responsible for planning, organizing, staffing, directing, and controlling functions required in the design, construction, installation, maintenance, commander and/or operation of public safety communications sys= tems who are full-time employed and salaried by a federal, state, or local governmental agency; provided, however, that such administrative or supervi= sory personnel in Emergency Medical Services and/or Civil Defense/Emergency Serv= ices need not be full-time employed and salaried by federal, state or local government.

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      All persons who have maintained an Engineer/Technician or Telecommunicator membership, or combination thereof,= for a minimum period of two years.

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      No person shall be eligible for membership under any portion of this section who engages in the commercial manufacture, lease, or sale of public safety communications equipment.=

Section 3:        Engineer/Technician Member<= /a>

  1. The following shall be eligible for ENGINEER/TECHNICIAN membership in this Association:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Those non-supervisory persons who a= re employed full-time by public safety organizations for the purpose of design= ing and construction of communications components and systems, and for installi= ng and/or maintaining communications equipment, and who are recommended by the appropriate supervisor of the communications system where they are employed; provided, however, that such described personnel in Emergency Medical Servi= ces and/or Civil Defense/Emergency Services systems need not be full-time salar= ied by a federal, state, or local government.

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      ENGINEER/TECHNICIAN members shall n= ot vote and shall not hold office. ENGINEER/TECHNICIAN members may serve on the following specific standing committees: Membership; Resolution and Bylaws; Engineering and Research; Frequency Advisory; and Training. They may serve = on special committees and otherwise enjoy all benefits of this Association.

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      Those persons who maintain their ENGINEER/TECHNICIAN membership for a minimum period of two years are eligib= le, upon payment of proper dues, to be transferred into the ACTIVE member class= .

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      No person shall be eligible for membership under any portion of this Section who engages in the commercial manufacture, lease or sale of public safety communications equipment.<= /o:p>

Section 4:        Telecommunicator Member=

  1. The following shall be eligibl= e for TELECOMMUNICATOR membership in this Association:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Those non-supervisory persons who a= re employed full-time by public safety organizations to operate communications equipment for the purpose of dispatching information, and who are recommend= ed by the appropriate supervisor of the communications system where they are employed; provided, however, that such described personnel in Emergency Med= ical Services and/or Civil Defense/Emergency Services systems need not be full-t= ime salaried by a federal, state, or local government.

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      TELECOMMUNICATOR members shall not = vote and shall not hold office. TELECOMMUNICATOR members may serve in the follow= ing specific standing committees: Awards and Membership/Activities.<= /span>

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      They may serve on special committee= s and otherwise enjoy all benefits of this Association.

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      Those persons who maintain their TELECOMMUNICATOR membership for a minimum period of two years are eligible, upon payment of proper dues, to be transferred into the ACTIVE member class= .

<= span style=3D'font-family:"Times New Roman"'>5.<= span style=3D'font:7.0pt "Times New Roman"'>      No person shall be eligible for membership under any portion of this Section who engages in the commercial manufacture, lease, or sale of public safety communications equipment.=

Section 5:        Commercial Member

  1. The following shall be eligibl= e for COMMERCIAL membership in this Association:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Those persons in the business who w= ould receive any amount or type of compensation which is derived from the design, manufacture, sale, service, maintenance, lease, rental or promotion of components, equipment, systems or other configurations of communications equipment or related items which are used or can potentially be used by pub= lic safety entities; and

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Those persons who are engaged in wr= iting, publishing, advising, and consulting in the land mobile communications fiel= d or who distribute goods and represent companies, firms, or persons including themselves and others who profit materially from such activities.

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      COMMERCIAL members are eligible to = serve on ad hoc and special committees and groups, and as a Chapter Commercial Advisory Member on the Chapter Board of Directors.

Section 6:        Associate Member

  1. The following shall be eligibl= e for ASSOCIATE membership in this Association:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Those persons not eligible for or restricted to other classes of membership provided for in this Constitution= .

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      ASSOCIATE members shall not vote ex= cept as they may in committee and shall not hold office but may serve on the fol= lowing specific committees: Membership; Resolution and Bylaws; Training; Engineeri= ng and Research; and Frequency Advisor.

Section 7:        Life Member

  1. The= term LIFE is an honorary term and shall be in addition to that of the regul= ar membership classification title held by the member.<= /li>
  2. This honor is reserved for those persons who are members of this Associatio= n of any classification and who have made significant contributions toward = the objectives of this organization at the Association level in a manner a= nd for the purposes which are above and beyond those normally required for recognition at the Chapter level as a Chapter honorary member.
  3. This highest Association honor shall be bestowed upon a person in the follo= wing manner:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Nomination for LIFE membership shal= l be made at the Chapter level by a Chapter quorum or by a Chapter Board of Directors, and shall be forwarded to the Board of Officers accompanied by a full and detailed statement of the basis upon which such nomination is beli= eved to be justified;

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      The nomination shall be the subject= of a recommendation by the Executive Council.

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      If approved by the Executive Counci= l, the nomination shall be submitted for consideration of the quorum of an annual conference.

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      LIFE membership shall be deemed gra= nted if approved by a majority vote of the quorum of an annual conference of this Association.

<= span style=3D'font-family:"Times New Roman"'>5.<= span style=3D'font:7.0pt "Times New Roman"'>      The privileges of a LIFE member sha= ll be determined by their other membership classification, provided, however, a L= IFE member shall be exempt from the payment of dues.

Section 8:        Chapter Honorary Member=

  1. This honorary designation is reserved for those persons, including those who have retired due to age or physical disability, who have made signific= ant contributions toward the objectives of a Chapter of this Association. = This honor shall be bestowed upon a person in the following manner:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      The Chapter Board of Directors shal= l make a recommendation to the Chapter that such honor be bestowed; and=

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      The appropriate Chapter quorum, dur= ing one of its regularly scheduled meetings, shall approve the recommendation b= y a majority vote.

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      The term of this recognition shall = be at the discretion of the Chapter.

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      Privileges of a CHAPTER HONORARY me= mber shall be determined by his/her other membership classification if any; prov= ided the Chapter shall pay the regular member annual subscription fee for the BULLETIN in accordance with the requirements of Bylaws Article VI, Section = 1 E.

Section 9:        Sustaining Member

  1. A T= his class of membership shall require the approval of the Board of Directo= rs of this Association and shall be restricted to any person, company, corporation, foundation, association or other such formally organized group whose interests are not normally to be found reflected in the ot= her regular membership requirements and classifications, who has demonstra= ted a worthy awareness of the needs of this Association at the National le= vel and who desires to make a significant monetary contribution to this Association at the National level for the purpose of advancing its aims and objectives.

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      SUSTAINING members shall be so reco= gnized in this classification for a period of twelve months from the date of each = such recognition.

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      SUSTAINING members shall not vote, = except as they may in committee, shall not hold office, and may serve only on spec= ial committees.

Section 10:      Multiple Memberships

  1. The Association has established authority for those persons who wish to affiliate with more than one Chapter of the Association to hold member= ship in more than one Chapter.

1.<= span style=3D'font:7.0pt "Times New Roman"'>      The following policies shall apply = to the member:

a.<= span style=3D'font:7.0pt "Times New Roman"'>      = They shall be a paid-up member in t= heir proper classification in the Chapter chartered in the area where they reside and/or is permanently employed, and record of such membership and payment of dues shall be on file in the Association Office.

b.<= span style=3D'font:7.0pt "Times New Roman"'>      They shall be appropriately classif= ied as a multiple member in any additional Chapter(s) they affiliate with, and the= ir membership in such additional Chapter(s) shall be recorded only at the Chap= ter level;

c.<= span style=3D'font:7.0pt "Times New Roman"'>      = They shall be issued a regular memb= ership card(s) which is identical with and of the same type of classification as t= hat which has been issued to him in his own home Chapter, provided, however, th= at the appropriate added Chapter secretary (s) shall enter the prefix of MULTI= PLE in the heading of such additionally issued membership cards.

d.<= span style=3D'font:7.0pt "Times New Roman"'>      Unless otherwise provided herein, t= hey shall pay dues in any such additional Chapter(s) in accordance with Bylaws Article VI, Section F and;

e.<= span style=3D'font:7.0pt "Times New Roman"'>      = They shall not vote except as they = may in committee and shall not hold office in any Chapter(s) in which they hold MUPLIPLE membership, regardless of their membership classification in their home Chapter, but may serve on special committees in such additional Chapter(s).

Section 11:      Governmental Membership

  1. Any political entity qualifying under the meaning and intent of Article 1, Section 2, paragraph A of the Constitution, herein after referred to as the master applicant in this category, among whose employees two (2) or more are eligible for membership in accordance with the other Sections= of this Article whom the master applicant wishes to enroll as a group in = the Association is eligible for this class of membership with the following stipulations: At least one of the employees in each applicant group per each dues year shall be eligible for, or the particular master applica= nt shall have at least one employee enrolled as, an ACTIVE member of the Association;

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      All employees in each such group sh= all reside, live or work within the boundaries of the particular Chapter charte= red in the geographical area and shall be members of that Chapter unless otherw= ise approved by the Board of Directors.

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Membership in good standing within a group may be transferred during a given dues period from current employees leaving the group to new employees entering the group upon each such indivi= dual request by the master applicant to the appropriate Chapter secretary.<= /o:p>

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      The individual members shall be classified and serve in the Association in accordance with the appropriate membership classification requirements which are set forth elsewhere in this Article, and the will of the GOVERNMENTAL member shall be expressed within = the Association only by means of these individual members; and

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      Dues for GOVERNMENTAL memberships s= hall be in accordance with the schedule outline in Bylaws Article VI, Section 1, Paragraph B.

Section 12:      Supporting Memberships

  1. Any company, corporation or other such formally organized group, herein af= ter referred to as the master applicant in this category, among whose employees two (2) or more are eligible for COMMERCIAL membership in accordance with the requirements of Section 5 of this article, whom the master applicant wishes to enroll as a group in this Association is eligible for this class of membership with the following additional stipulations:

1.<= span style=3D'font:7.0pt "Times New Roman"'>      All employees in each such group sh= all reside or work within the boundaries of the particular Chapter chartered in that geographical area.

2.<= span style=3D'font:7.0pt "Times New Roman"'>      Memberships in good standing within= a group may be transferred during a given dues period from current employees leaving the group to new employees entering the group upon each such indivi= dual request by the new master applicant to the appropriate Chapter secretary;

3.<= span style=3D'font:7.0pt "Times New Roman"'>      The individual members of the groups shall be classified and enrolled as, and enjoy all the privileges of, a reg= ular COMMERCIAL member; and

4.<= span style=3D'font:7.0pt "Times New Roman"'>      Dues for SUPPORTING memberships sha= ll be in accordance with the schedule outline in Bylaws Article VI, Section C.

Section 13:      Retired Member

  1. The following shall be eligible for RETIRED membership in this Association= :

1.<= span style=3D'font:7.0pt "Times New Roman"'>      Those former members of this Associ= ation, in any class, who have fully retired from their former regular occupational positions and are no longer gainfully employed or otherwise compensated for current services provided in any manner to the general field of commercial,= private, or public communications.

2.<= span style=3D'font:7.0pt "Times New Roman"'>      RETIRED members are eligible to ser= ve only on special and ad hoc committees and group and may not vote except as = they may in such committees.

Section 14:      Public Safety Entity – Definition

  1. For= the purposes of this Constitution and Bylaws, a Public Safety Entity is defined as an agency, department, division, or section of a separate function of government which:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Has been created by state and/or fe= deral laws, and which is fully or to the largest extent financially supported by = tax revenue; and

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Is concerned with the functions of = police and general law enforcement, fire, highway safety, emergency rescue and/or medical services, civil defense, forestry conservation, and the various rel= ated activities of state and local government.

Section 15:      Dues=

  1. The= dues rate for each class of membership in this Association, and the policies pertaining thereto, are set forth in Bylaws Article VI.

Section 16:      Voting and Officer Restrictions

  1. The= right to vote and hold elected office at all levels and in all areas of this Association is a privilege of ACTIVE members only, provided other clas= ses of membership may exercise voting privileges only in those specific standing or special committees on which they are permitted and appoint= ed to serve in accordance with the provisions of this Article as pertains= to their particular classifications.

ARTICLE III - SPEC= IAL SESSION AND SCHOOLS=

Section 1

  1. Spe= cial session of the Chapter may be held for the purposes of amending the Constitution and Bylaws. These sessions may not be held more often than twice yearly. They may be included as part of a regularly scheduled meeting or session.

Section 2

  1. The Chapter may conduct schools or other such activities for the purpose of enhancing or improving the skills or knowledge of the professional communications or public safety worker.

ARTICLE IV - AMENDMENTS – REVIEW AND CHANGE=

Section 1:        Procedure

  1. The Constitution of this Chapter may be amended only by a two-thirds (2/3) majority vote of a quorum as defined in Bylaws Article XI, Section 1, Paragraph A, during a specific session called for this purpose.

BYLAWS=

ARTICLE I - ELECTI= ON OF MEMBERS

Section 1:        Membership Applications=

  1. App= lications for membership shall be upon standard forms as directed by APCO and/or NENA and may be submitted directly to the Association Offices, who will rule on applicants’ eligibility/classification and process the applications accordingly.
  2. Alt= ernatively, applications may be submitted to the Chapter Secretary who shall exami= ne and pass upon the applicants’ eligibility/classification, then forward such applications, with dues payment attached, to the Association offi= ce for appropriate processing.

Section 2:        Optional Chapter Membership=

  1. Tho= se persons who live within the chartered area of one Chapter and work wit= hin the chartered area of another Chapter may hold membership in either of such Chapters as they may choose.

ARTICLE II - MILIT= ARY MEMBERS

Section 1:        Policy=

  1. Mem= bers of the Armed Forces of the United States of America who are in good standing in the Association at the time of entry into the Armed Forces during a declared war, or inducted in any military program, shall be carried as paid up members in good standing for the duration of active service and six months thereafter.

ARTICLE III - OFFI= CERS & DIRECTORS (GENERALLY)=

Section 1:<= /a>

  1. The following shall be the elected officers of the Oregon Chapter: PRESIDE= NT, VICE-PRESIDENT, and SECRETARY. The TREASURER shall be appointed by the Board of Directors.

Section 2:<= /a>

  1. An International Association Executive Representative shall be appointed = by the Board of Directors to represent the Chapter on the International Association Executive Committee.
  2. The= Board may allow nominations and a vote from the floor when filling this position.

Section 3:<= /a>

  1. The= Board of Directors of this Chapter shall consist of the President, Vice-President, Secretary, Treasurer, Immediate Past President, Chapter Commercial Advisory Member, and International Association Executive Councilperson.
  2. The Chapter Commercial Advisory Member shall be elected to serve as an ex-officio member of the Board of Directors.

Section 4:<= /a>

  1. The officers shall be elected in the manner prescribed in the Bylaws and s= hall serve their respective terms of office as therein declared.=

Section 5:<= /a>

  1. Sho= uld an elective officer of this Chapter lose their ACTIVE membership status, = they will immediately resign said office.
  2. Oth= erwise, a majority vote of the Board of Directors shall remove said alleged officer after immediate investigation by the Board of Directors. Vacan= cies in any elected office shall be filled pro-tem in accordance with the Bylaws.

Section 6:        Term of Office

  1. Ele= cted Officers, the Board Chair, and the appointed International Association Executive Councilperson shall assume their duties and authorities upon their being installed in office during the meeting at which they were elected. The President and Vice-President positions shall be limited to one-year terms each with the Vice-President succeeding the President at the completion of the President’s term, as outlined in Section 7 herei= n. The position of Secretary and the Commercial Advisory Member shall be two-year terms. The position of Treasurer shall be appointed annually = by a consensus of the incoming Board of Directors with no term limits. Committee chairs will be appointed annually by the incoming President, with no term limits. Officers shall remain in office until the installation of their elected successors.

Section 7:        Qualification for Office

  1. Off= icers shall be current ACTIVE APCO and/or NENA member. Active members intere= sted in running for office shall have either chaired or been an active participant in a committee for one year. If the member has not served = as a chair of a committee, but has been actively involved in a committee, a recommendation by the respective chair may accompany the nomination. T= hey must demonstrate a level of activity and participation in quarterly meetings and be involved in the committee outside of the quarterly meetings.

Section 8:        Vacancies

  1. Vac= ancies in the officers of President or Vice-President shall be filled by advancement in rank, provided that such fulfillment shall be in ACTING capacities until time of the next regular election of officers and such ACTING capacities shall otherwise have no effect upon their normal ter= ms of office or eligibility thereto.

Section 9:        Election of Officers

  1. The election of officers shall be held in the following manner:=

1.<= span style=3D'font:7.0pt "Times New Roman"'>      At the next to last session of the = year, the President shall present the names selected by the nomination committee.= At the last session of the year, the President shall accept nominations from t= he floor prior to holding elections.

2.<= span style=3D'font:7.0pt "Times New Roman"'>      The Secretary or Treasurer shall pr= epare election ballots.

3.<= span style=3D'font:7.0pt "Times New Roman"'>      The election shall be by secret bal= lot at the last session of the year.

4.<= span style=3D'font:7.0pt "Times New Roman"'>      At the last session of the Chapter = for the year, the ballots shall be counted and the election results announced.<= o:p>

5.<= span style=3D'font:7.0pt "Times New Roman"'>      All newly elected officers and comm= ittee chairs shall take office at the adjournment of this session.

Section 10:      Compensation

  1. The= re shall be no compensation for the Officers and Directors of this Chapte= r.

ARTICLE IV - OFFIC= ERS & DIRECTORS (DUTIES AND AUTHORITY)=

Section 1:        President

  1. In addition to such other authority as he/she may have, the President’s duties shall include the following:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Preside at all meetings of this Cha= pter and serve as Chairman of the Board of Directors;

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Appoint committees in accordance wi= th Article V of these Bylaws;

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      Carry out the purposes of this Chap= ter as set forth in its Constitution and Bylaws.

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      Keep the Officers appropriately inf= ormed of Chapter and Association matters; and

<= span style=3D'font-family:"Times New Roman"'>5.<= span style=3D'font:7.0pt "Times New Roman"'>      Make appointments to fill vacancies= in office.

  1. The President’s powers shall include authority to:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Carry out duties as delegated in th= is Article and those policies duly adopted by the Quorum and the Board of Directors;

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Appoint special committees to perfo= rm tasks deemed necessary during their term of office in accordance with Artic= le V, Section 2, Paragraphs A and B of these Bylaws;

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      Incur reasonable and proper personal expense in accordance with Article VIII of these Bylaws;<= /p>

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      Authorize reasonable and proper exp= ense of any member for the purpose of specific Association duties; and

<= span style=3D'font-family:"Times New Roman"'>5.<= span style=3D'font:7.0pt "Times New Roman"'>      Call any committee into session at = any time.

  1. The President’s Parliamentary decision upon the floor shall be final, prov= ided it not be in conflict with the rules of this Association and for other matters by Roberts Rules of Order to the extent practicable.

Section 2:        Vice-President

  1. It = shall be the duty of the Vice-President to perform all the duties of the President in his/her absence, and they shall serve in the absence of t= he President.
  2. The Vice-President is hereby empowered to act in a reasonable and proper manner to perform duties delegated in this Article and in particular, = in a manner consistent with the direction of the President and consistent w= ith the policies of the current administration.

Section 3:        Secretary

  1. It = shall be the duty of the Chapter Secretary to:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Keep a complete roll of the members= hip of this Chapter, in cooperation with the Membership Committee;

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Maintain the records, files, and li= brary of the Chapter and handle its general correspondence;

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      At each session make a full report = of their activities to the Board of Directors;

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      Promptly deliver all books and pape= rs to whomever the Board of Directors may designate;

<= span style=3D'font-family:"Times New Roman"'>5.<= span style=3D'font:7.0pt "Times New Roman"'>      Provide for the notice and keeping = of minutes and records of the sessions of the Chapter; supervise the general conduct, planning and activity of the quarterly sessions; and provide for the offici= al requirements of the Board of Directors during these and other meetings of s= uch bodies;

<= span style=3D'font-family:"Times New Roman"'>6.<= span style=3D'font:7.0pt "Times New Roman"'>      Serve as the Secretary of the meeti= ngs of the Board of Directors;

<= span style=3D'font-family:"Times New Roman"'>7.<= span style=3D'font:7.0pt "Times New Roman"'>      Assist the committees of the Associ= ation by furnishing them with information.

  1. Sub= ject to the policies determined by the Board of Directors, authority of the Secretary in the discharge of duties includes the power to:=

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Provide for printing and recording facilities;

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Provide information and other servi= ces as necessary to perform duties;

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      Incur reasonable and proper expense= in the performance of duties and the operation of office.

Section 4:        Treasurer

  1. It = shall be the duty of the Chapter Treasurer to:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Receive all funds due this Chapter = and maintain bank accounts for the orderly processing of all funds in accordance with the Constitution and Bylaws;

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Promptly deliver all funds, books a= nd papers to whomever the Board of Directors may designate;<= /p>

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      Furnish a financial and budget repo= rt, containing comments and recommendations as of December 31 of each calendar year, to the members of the Board of Directors;

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      Keep complete records of all moneys= owed to the Chapter and of expenditures incurred by the Chapter and take all appropriate measures to assure the prompt collection of, payment of, and accounting for Chapter funds.

  1. The Treasurer shall have the authority to:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Establish credit when directed by t= he Board of Directors;

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Establish banking facilities and pr= epare checks for the expenditure of funds to cover the Chapter’s indebtedness and deliver them to the President for counter-signature with the provision, however, that separate bank accounts may be established pursuant to the direction of the Board of Directors to meet day-to-day operating expenses w= hich will not require a counter-signature except for required reimbursement purposes;

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      Incur reasonable and proper expense= in the performance of duties and the operation of their office; and=

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      Employ such staff and incur such ot= her expense as the Board of Directors, in its budget, shall authorize.

Section 5:        Chapter Commercial Advisory Member (CCAM)

  1. The= CCAM provides a liaison between the Chapter Board of Directors and the commercial members of the Chapter. In addition, the CCAM provides a liaison with the Associations Commercial Advisory Committee. The CCAM provides a means of establishing open communication lines between the Chapter’s Commercial Members, the Association’s Commercial Advisory Committee, the Chapter Officers, and the Chapter’s non-commercial memb= ers.
  2. The= CCAM shall have voting privileges during the Chapter Board Meetings.

Section 6:        Board of Directors

  1. The= names of the elected Chapter members for the pending year shall be submitted= in writing to the Association Office promptly. The term of the Chapter representative shall be determined by the Chapter membership but shall= not be less than one year.
  2. In = the event of the inability of the elected Chapter member of the Board of Directors to attend a meeting of the International Association Executi= ve Council, the Chapter President may appoint an alternate to represent t= he Chapter at that meeting. The alternate delegate shall be furnished pro= per written credentials authorized by the Chapter President, a copy of whi= ch shall be submitted to the Association Office.
  3. Duly elected Chapter representatives to the Board of Directors are eligible= to succeed themselves.
  4. The duties of the Board of Directors shall be:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      To report at each meeting of this C= hapter all measures considered;

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Supervise all accounts and expenses= and review the required audit of the accounts of the Secretary; and<= /span>

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      Make definite recommendations to the Quorum on matters published and/or matters of which it has received notice.=

  1. Aut= hority is hereby provided for the Board of Directors to:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Perform all functions and do all ac= ts, between meetings, which this Chapter might do or perform except it shall not have the power to amend the Constitution and/or Bylaws. During such interim= period, its decision shall be final in matters determined "reasonable and proper." It has the power to convene or poll itself by majority vote.<= o:p>

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      The Board of Directors shall conven= e at such time and place as may be determined upon the call of the President or = as self-convened. Two weeks written notice shall be given members thereof exce= pt when this Chapter is in scheduled meeting, or except when otherwise provide= d by a majority vote of the committee members.

  1. A majority of the members of the Board of Directors shall constitute a QUORUM.
  2. In = the event of an actual conflict of interest, the affected Director is to declare the conflict and abstain from voting. When there is a potential conflict of interest, the affected Director is to declare the conflict= and state whether such potential conflict of interest has created a bias or prejudice for or against the matter at issue and, if so, the Director = must abstain from voting.

ARTICLE V - COMMIT= TEES

Section 1:        Standing Committees

  1. The standing committees of this Chapter shall be Technical (Engineering/Resource and Frequency Coordination), Awards, Membership/Activities, Resolutions and Bylaws, Nominating, Legislative, Training and Public Education, and 9-1-1 Management Committee. Special committees shall be as directed by the President.
  2. Mem= bers of standing committees shall serve until the expiration of their terms, and thereafter until the Secretary is notified in writing by the curre= nt President of the names of their authorized successors.
  3. The President shall appoint the Chairman and all members of each standing committee, except they shall follow procedure established and set fort= h in this Section for the Executive, Historical, Nominating and Frequency Advisory committees.
  4. Sta= nding committees and their chairman shall determine the matters they shall consider, subject to such direction as the President shall deem desira= ble in order to achieve the purposes of this Association, provided no Presidential limitation shall be placed upon the Board of Directors.
  5. A q= uorum of a committee, except as otherwise provided for, shall be its chairman and any members participating in a meeting or a membership poll.<= /o:p>
  6. = Technical Committee

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      This committee shall be responsible= for monitoring and updating the Chapter membership on new and developing technologies and the impacts on or application in emergency communications environments. This committee will appoint a Frequency Coordinator for the Chapter annually who shall, at the direction of the President, be the Chapt= er liaison with the Association and other organizations engaged in connection = with the coordination of frequencies in the public safety radio services.

  1. = Awards Committee

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      The committee shall coordinate the Chapter Award/Recognition program through ongoing solicitation of nominatio= ns, annual review of nominations and selection of award recipients. This commit= tee shall plan the awards luncheon or banquet and presentation.

  1. = Membership Committee

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      This committee shall explore the fi= eld of new membership by devising methods, plans, projects, and items of interest.= It shall encourage formative groups and work with other Chapters. It shall att= empt continued re-enrollment of persons who have allowed their membership to lap= se.

  1. = Resolutions and Bylaws Committee

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      This committee shall, in accordance= with the requirements of Bylaws Article X, assist in matters concerned with amen= ding the Constitution and/or Bylaws when they are referred to it by the Board of Directors. It shall also prepare, other than amending type, resolutions as = may be requested of it and arrange for but not provide the means of quantity reproduction of all resolutions, which are to be considered.

  1. = Nominating Committee

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      This committee shall include at lea= st two (2) past Presidents of this Chapter if they are available, and three (3) members at large. This committee shall develop a nomination process and sol= icit nominations for elected officers. The committee shall report a slate of nominees for office to the Quorum at the next to last meeting of the year, = to be considered along with any additional nominations which may be made from = the floor at the last meeting of the year. Election shall be by quorum at the December meeting.

  1. = Legislative Committee

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      This committee shall monitor propos= ed legislative initiatives and other legislative activities for items that may impact emergency communications and develop strategies and make recommendat= ions to the Chapter regarding an official position against or in support of the initiative or activity. At the direction of the Board of Directors, this committee may work with a professional lobbyist on legislative matters, including taking a position on behalf of the membership.<= /p>

  1. = Training and Public Education Committee

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      This committee is responsible for planning and scheduling training sessions or speakers for the quarterly Cha= pter meetings. The Chapter may conduct schools or other formal activities for the purposes of education, training, and otherwise enhancing the Public Safety Communicators professional level of skills for Chapter members and non-memb= ers.

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      If a training conference or similar= is sponsored by the Chapter, the Chair of this committee is responsible for structuring, scheduling, and facilitating the training. They shall submit t= he curriculum, budget, final report and audit to the Chapter for approval. The Chair is authorized to establish a separate account for the purpose of conducting training and accounting for funds received and expended. A final audit and report shall be submitted no later than three months after the conclusion of the training class.

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      This committee is also responsible = for unifying the 9-1-1 public education message being delivered across the stat= e so that there is consistency in the information being provided; for collecting information on the various public education activities being carried out by agencies throughout the state; collecting and sharing information on educat= ion activities occurring outside of the state and in other public safety agenci= es; developing informational handouts and brochures for statewide application s= uch as the "Dial 9-1-1 When Seconds Count" brochure.

Section 2:        Special Committees

  1. Spe= cial committees may be appointed by the President, as they deem necessary f= or specific tasks.
  2. Mem= bers of these committees shall serve at the pleasure of the President, and their terms otherwise shall expire concurrently with that of the President.

Section 3:        Duties of Committees

  1. Whe= re not otherwise specified, duties of committees shall be designated by the President.

ARTICLE VI - DUES<= /span>

Section 1:        Dues Rates

  1. Ann= ual dues shall be established by the Board of Directors and published annu= ally at the first meeting.
  2. GOV= ERNMENTAL members shall be given dues reduction benefits according to the follow= ing schedule:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Dues for the first two (2) members = in each master applicant group, in accordance with Constitution Article II, Section 11, at least one (1) of which shall be ACTIVE, shall be at the same rate as for single memberships according to class.

  1. SUP= PORTING memberships shall be given dues reduction benefits according to the following schedule:

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Dues for the first two (2) members = in each master applicant group, in accordance with Constitution Article II, Section 12, shall be at the same rate as for single ACTIVE memberships.

  1. MIL= ITARY MEMBERS, as defined in Bylaws Article II, are exempt from payment of d= ues.
  2. CHA= PTER HONORARY MEMBERS are exempt from payment of dues, except that the Chap= ter shall pay the current BULLETIN subscription fee.
  3. MUL= TIPLE memberships in accordance with the provisions for this class of member= ship in Constitution Article II, Section 10, are recorded only at the Chapt= er level and issued at the Chapter dues rates. Such dues are not reported= to the Association and are payable only to the Chapter(s) in which the me= mber holds MULTIPLE membership(s).
  4. RET= IRED MEMBERS, as defined in Constitution Article II, Section 13, shall pay = dues according to the following schedule:

Section 2:        Membership Certificates=

  1. Mem= bership certificates shall be issued by the Chapter Secretary as soon as pract= ical but within six months of the initial acceptance of the new member.

ARTICLE VII - OFFI= CER AND FREQUENCY COORDINATOR EXPENSES=

Section 1:        Reasonable and Proper Expenses

  1. Rea= sonable and proper expenses incurred by Officers and Board Members shall be pa= id with the prior approval of the Board of Directors.

Section 2:        Support of International Associati= on Councilpersons

  1. The= Board of Directors shall provide a portion of the expenses incurred by the International Association Councilperson attending the annual national conference. This support shall be for registration. The Board of Direc= tors may authorize additional support.

ARTICLE VIII - PROCEDURE

Section 1:        Amendment Procedure

Statement = of Restrictions

  1. The Constitution and/or Bylaws of this Chapter may be amended only by a two-thirds (2/3) majority vote of a quorum in regular session.
  2. Req= uirements

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      An amending proposal shall be submi= tted by the maker in written or electronic form to the Secretary, with a copy to= the chairman of the Resolutions and Bylaws Committee, and its format shall:

<= span style=3D'font-family:"Times New Roman"'>a.<= span style=3D'font:7.0pt "Times New Roman"'>      = Indicate the INTENT of the proposal= ;

<= span style=3D'font-family:"Times New Roman"'>b.<= span style=3D'font:7.0pt "Times New Roman"'>      Indicate the name of the MAKER of t= he proposal;

<= span style=3D'font-family:"Times New Roman"'>c.<= span style=3D'font:7.0pt "Times New Roman"'>      = Indicate the quarterly quorum whose consideration is desired;

<= span style=3D'font-family:"Times New Roman"'>d.<= span style=3D'font:7.0pt "Times New Roman"'>      Indicate the Article(s), Section(s)= , and Paragraph(s) of the Constitution and/or Bylaws proposed to be amended;=

<= span style=3D'font-family:"Times New Roman"'>e.<= span style=3D'font:7.0pt "Times New Roman"'>      = State the deficiencies of present, = or need of added, language of the current Constitution and/or Bylaws;

<= span style=3D'font-family:"Times New Roman"'>f.<= span style=3D'font:7.0pt "Times New Roman"'>      =   <= span style=3D'font-family:"Times New Roman"'>g.<= span style=3D'font:7.0pt "Times New Roman"'>      = Provide a short narrative of the suggested method and/or language for the proposed amendment.

  1. Dra= fting of Resolutions to Amend

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      A resolution to amend the Constitut= ion and/or Bylaws shall be based upon and faithfully follow the intent of the required amending proposal and it shall be so devised and drafted by the Secretary to the best of their ability.

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Should, after two or more such draf= tings, the devised resolution not satisfy its maker, the resolution may be modifie= d in final form by its maker to their own satisfaction, provided the publication thereof indicates such act.

  1. Req= uired Publication

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      An amending resolution, which has b= een processed in accord with the requirements of Section 1, B and C of this Article, shall be submitted electronically to the membership more than 30 d= ays prior to the convening of the quarterly session in which the amending resolution is to be considered.

<= span style=3D'font-family:"Times New Roman"'>2.<= span style=3D'font:7.0pt "Times New Roman"'>      Chairman of Resolutions and Bylaws Committee to be notified.

<= span style=3D'font-family:"Times New Roman"'>3.<= span style=3D'font:7.0pt "Times New Roman"'>      Resolutions proposing amendments to= the Constitution and/or Bylaws shall be written in formal character; shall incl= ude the exact location of the affected part; shall include the exact substitute wording, if any, and shall be submitted to the Chairman of the Resolutions = and Bylaws Committee in sufficient time for consideration and report prior to t= he casting of ballots.

<= span style=3D'font-family:"Times New Roman"'>4.<= span style=3D'font:7.0pt "Times New Roman"'>      Resolutions and requests for drafti= ng of resolutions shall be in writing and electronically submitted to the Chairma= n of the Resolutions and Bylaws Committee in sufficient time for consideration a= nd report prior to the casting of ballots.

  1. Quo= rum Revision of Resolutions

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Upon the review of the matter of a resolution by the Quorum and within its sovereign power as dictated by the = best interests of this Chapter, a session quorum may make amendments and revise language thereto with respect to the general subject matter thereof by mean= s of a majority vote being taken upon each such proposed resolution amendments and/or revision.

  1. Eff= ective Date of Amendments

<= span style=3D'font-family:"Times New Roman"'>1.<= span style=3D'font:7.0pt "Times New Roman"'>      Resolutions passed and adopted by t= his Association in accord with other provisions of the constitution and/or Byla= ws shall be in force and effect upon the adjournment of the semi-annual session wherein considered and adopted, provided an exception to this effect is not otherwise considered in the language of the resolution adopted.<= /span>

Section 2:        Ruling Body

  1. The ACTIVE membership is the ruling body of this Chapter. Its presence sha= ll be represented at a session by a quorum as defined in Bylaws Article X= I, Section 1.

Section 3:        Impeachment

  1. A two-thirds (2/3) majority vote of the Board of Directors shall be requ= ired for the removal from office of an officer of this Chapter.<= /span>

Section 4:        Parliamentary Procedure=

  1. Upo= n any question coming before this Chapter not otherwise specifically provided for in the Constitution and/or Bylaws, the presiding officer shall be governed to the extent practicable by Roberts Rules of Order.

ARTICLE IX - DISBURSEMENT OF ASSETS UPON DISSOLUTION=

Section 1:        Statement of Intent

  1. Sho= uld Oregon APCO/NENA be dissolved, all assets shall be distributed as prov= ided in the Articles of Incorporation.

ARTICLE X - QUORUM=

Section 1:        Conference Quorum

  1. The active members attending a scheduled meeting or session shall constitu= te a quorum. Should a quorum consist of less than a majority of the active members registered, a two-thirds majority vote shall be required to determine an issue.

ARTICLE XI - SCHOO= LS (AND EDUCATION ACTIVITIES)=

Section 1:<= /a>

  1. The Chapter may conduct schools or other formal activities for the purpose= s of education, training, and otherwise enhancing the Public Safety Communicators professional level of skills for Chapter members and non= -members.

Section 2:<= /a>

  1. The Chairman of the Training Committee is responsible for structuring, scheduling, and conducting the school. They shall submit the curriculu= m, budget, and final report and audit to the Chapter for approval.
  2. The Chairman is authorized to establish a separate account for the purpose= of operating the school, accounting for funds received and expended. A fi= nal audit and report shall be submitted not later than three months after = the conclusion of the school, and in no event shall this be after December= 15 of the school year.
  3. The Chairman shall maintain complete instruction material files, lesson pl= ans, and other such data as may be necessary.
  4. The Chairman shall be bonded to an amount approved by the Board of Directo= rs.

Section 3:<= /a>

  1. Mon= ies received over school costs shall be transferred to the general Chapter treasury to support Chapter activities, such as general operations, frequency coordination and the like, which benefit the membership as a whole.

ARTICLE XII - GRAN= TS AND CONTRIBUTIONS=

Section 1:        Application for Funds

  1. The President of this Chapter or any member designated by them may make applications to philanthropic organizations, corporations, agencies, groups, or persons for grants or contributions of funds or property for carrying out general or specific purposes of the Chapter.
  2. No application shall be made to, or contribution received from, any perso= n or agency except after a determination by the Board of Directors that a g= rant of contribution to the Chapter would be motivated by the desire to fur= ther the purpose of the Association and not to derive personal benefit or privilege to the donor.

Section 2:        Acceptance of Grant or Contributio= n

  1. Any member who may be offered a grant or contribution or contract for this Chapter shall immediately notify the President, but no grant or contribution shall be finally accepted by the Chapter except on approv= al of the Board of Directors of this Chapter. The terms of any such grant= or contribution shall be set forth in writing and signed both on behalf of the Chapter and the donor.

Section 3:        Administration of Funds=

  1. Any= grant or contribution to the Chapter shall be credited to its general fund unless under the terms thereof a special fund is prescribed. The budgeting, receipt, custody and disbursement of any such grant or contribution shall follow the procedure defined for general funds of t= he Chapter, unless provided otherwise in the terms of the grant or contribution and agreed to by the Board of Directors.

ARTICLE XIII - RETENTION OF PROPERTY INTEREST=

Section 1:        Retention of Title

  1. All right, title, and interest, both legal and equitable, in and to proper= ty of this Chapter shall remain in the Chapter.

Section 2:        Requirements for Return of Propert= y

  1. Any property of the Chapter in the possession or trust of a member employee shall be returned immediately to the Chapter in the event of their dea= th, resignation, suspension, or expulsion.
